This Privacy Policy describes the information that EditCo Bio, Inc. (“EditCo”) collects from or about you or your devices or that you provide through our website at www.editco.bio and its related subdomains and any other websites operated by EditCo and their related subdomains and any other websites operated by EditCo (collectively, the “Site”); how EditCo uses, shares, and protects that information; and the choices you can make about that information. The term “Site” includes the content, materials, services, tools and other features and functionality we make available through the Site, including EditCo’s CRISPR Design Tool and ICE CRISPR Analysis Tool. Throughout this Privacy Policy, “information” means information about you or your devices. Your use of this Site is subject to the EditCo Terms of Use, the EditCo Terms of Sale, and this Privacy Policy.

What Information We Collect

When you create an account or make a purchase on our Site, the types of information we collect from you include your full name, postal address, email address, telephone number, user name, password, shipping addresses, any end-user information for the products purchased, and transaction information. When you make a purchase, a third party service provider that handles payments for us will receive your payment card information. If you contact us directly or use our CRISPR Bot, we may receive additional information about you, such as the contents of your messages or attachments that you may send to us and other information you choose to provide. If you subscribe to our newsletter, we will collect certain information about you, such as your email address. When we send you emails, we may track whether you open them to learn how to deliver a better customer experience and improve our Site. Additionally, in order to tailor our communications to you and to continuously improve our products and services, we may ask you to voluntarily provide us with information regarding your scientific areas of interest, experience with our products, contact preferences, and other information that helps us serve you.

How We Collect Information

You provide information to us when you (a) create an account on this Site or contact our Customer Service team; (b) place orders with us online, via phone, fax, or other electronic methods, or in person; (c) participate in trade shows; (d) interact with our sales and marketing teams, whether online, via phone, fax, or other electronic methods, or in person; or (e) otherwise provide us with or make available information through other registration and data capturing processes, including public sources of such data.

When you visit the Site, interact with us in other ways, or voluntarily provide us with information, you can choose how much information you share. You can refuse to supply information, with the caveat that withholding information may prevent you from engaging in certain Site-related activities.

We may automatically collect information from or about your devices, including web browser type, your Internet Protocol (IP) address, domain name of your Internet service provider, your city and state, the Site pages that you visit and the time of your visits, and aggregated information that cannot be used to specifically identify you when you use or visit this Site. If you have an account with us, this automatically collected information may be linked to your account.

We also may collect information about you from publicly available sources.

We may combine any of the information we collect from or about you or your devices and use it in the manner described in this Privacy Policy.

Additionally, third parties, or affiliates owned by EditCo, may provide information to us about you, and if and to the extent they do, we will treat such combined information in accordance with this Privacy Policy.

How We Use Information

EditCo uses your information:

  • to provide, maintain, improve, and enhance our Site;
  • to facilitate transactions and payments;
  • to identify you as a user of our Site and personalize your experience on our Site such as by providing tailored content and recommendations;
  • to understand and analyze how you use our services, to develop new products, services, features, and functionality, and to generate and review reports and data about our user base and service usage patterns;
  • to communicate with you, provide you with updates and other information relating to our services, provide information that you request, respond to comments and questions, and otherwise provide customer support;

How and With Whom We Share Information

We share information with our affiliates, agents, vendors, service providers and other third parties that help us to provide products or services to you, or otherwise perform functions on our behalf and in accordance with this Privacy Policy.

We do not rent, sell, or share information about you with nonaffiliated companies for their direct marketing purposes, unless we have your permission.

We use analytics services such as Google Analytics to collect and process certain analytics data. These services may also collect information about your use of other websites, apps, and online resources. If you connect a third party application to our Site, for instance via an application programming interface (API), we may share information with that third party to the extent you permit.

If we become involved in or are contemplating a merger, acquisition, sale of assets, joint venture, securities offering, bankruptcy, reorganization, liquidation, dissolution, or other transaction or if the ownership of all or substantially all of our business otherwise changes, we may share or transfer information to a third party or parties in connection therewith.

To the extent permitted by applicable law, we may disclose information to third parties to:

  • enforce our Terms of Use or our Terms of Sale;

Like many websites, EditCo uses cookies, web beacons, tracking pixels, and other technologies (collectively, “Tools”) to improve your Site experience. A cookie is a file containing text that is placed on your computer’s hard drive when you visit certain websites. With cookies in place, our system will recognize you whenever you use your web browser to connect to our Site. This enables us to present you with custom web pages and otherwise improve your user experience.

Disabling cookies may prevent you from using certain features of the Site such as registering or placing orders. If you choose not to take advantage of these interactive features, you can set up your browser to reject cookies or to alert you when a cookie has been sent. There is no accepted standard on how to respond to Do Not Track signals, and we do not respond to such signals.

Transfer of Data to Other Countries

The Site is maintained in the United States. Any information you provide to EditCo may be stored, processed, transferred between, and accessed from the United States and other countries, which may not guarantee the same level of protection as the one in which you reside. You explicitly consent and agree to such transfer, storing and/or processing of your information outside the country in which you reside. You understand that data stored in the United States may be subject to lawful requests by the courts or law enforcement authorities in the United States. Nevertheless, EditCo will handle information from or about you in accordance with this Privacy Policy regardless of where that information is stored.

Other Websites

This Privacy Policy applies only to this Site. This Site may contain links to other websites. When you use these links to leave this Site, you should note that we do not have any control over that other website. Therefore, we cannot be responsible for the protection and privacy of any information which you provide while visiting such websites, and such websites are not governed by this Privacy Policy. You should exercise caution and review the privacy policy applicable to the website in question.

Security

We have implemented administrative, physical, and technical measures, appropriate to the risk, to safeguard your information against accidental or unlawful destruction, loss or alteration and unauthorized disclosure or access. All of our website communications are HTTPS based, and provide end to end encryption for any data flowing between EditCo and the browser. We also use both passwords and usernames to authenticate users on certain portions of our website (i.e. to verify the identity of each registered user). Users are responsible for maintaining the secrecy of their own passwords.

However, no security can be 100% effective, so we cannot guarantee the security of information we maintain. No Internet or email transmission is ever fully secure or error free. Email or other communications sent through this Site may not be secure. You should use caution whenever submitting information through this Site and take care in deciding what information you provide to us. If you have reason to believe that your interaction with us is no longer secure (for example, if you feel that the security of any account you might have with us has been compromised), please immediately notify us by contacting us at privacy@editco.bio.

Retention of Information

EditCo retains the information that we collect about you for as long as reasonably necessary for the purposes set out in this Privacy Policy. We also may retain your information for a longer period of time on the basis of our legitimate interests in providing or marketing our services to you or as necessary to comply with our legal obligations, to resolve disputes, and to enforce our agreements. Even if we delete some or all of your information, we may continue to retain and use information that has been aggregated or anonymized so that it can no longer be used for personal identification.

Opting Out

If you do not wish to receive certain communications from us, you may opt out by (1) declining to provide us with information about you when registering or at other information gathering points on this Site, or (2) informing us that you no longer wish to receive such communications by emailing us at privacy@editco.bio, or (3) unsubscribing from our promotional emails via the link provided in the emails, unless such communications from us are required by law or contract or do not require your consent under applicable laws. Even if you opt out of receiving promotional messages from us, you will continue to receive administrative messages from us. If you choose not to provide us with information we collect, you may not be able to access certain of our products or services.

Children's Privacy

We do not knowingly collect personal information from individuals under the age of 13. If you are under the age of 13, please do not submit any personal information through this Site. If you have reason to believe that we may have accidentally received personal information from an individual under age 13, please contact us immediately at privacy@editco.bio.

Access and Correction of Information

You may at any time request access to a summary of personal information from or about you held by us, and request corrections or updates to that information. We will make reasonable efforts to respond promptly to such requests for information in accordance with local laws. Our response to such requests will be limited to information under our direct control.

If you believe that any information we are holding on you is incorrect or incomplete, please write to or email us as soon as possible at privacy@editco.bio. We will promptly correct any information found to be incorrect.

California Privacy Rights

California law grants additional privacy rights to California residents. In particular, the California Consumer Privacy Act (CCPA) requires businesses to disclose, for the past 12 months, (i) the categories of personal information collected, (ii) the sources of the collected personal information, (iii) the purposes for which the collected personal information is used, (iv) the categories of personal information disclosed for a business purpose, and (v) the categories of any personal information sold. EditCo provides these disclosures in the following table. (Note that EditCo does not sell any personal information, even under the broad CCPA definition of a “sale.”)

Right to access/know your information. You may request from us a list of (i) the personal information that we have collected about you, and (ii) the categories of third parties to whom we have disclosed your personal information. You have the right to up to two (2) access requests each twelve (12) months.

Right to delete your information. You may request, at any time, that we delete your information and direct our service providers to delete your information from their records.

You may contact us to exercise these rights at privacy@editco.bio. To ensure the privacy and protection of individuals, we are required to verify your identity (or that of your authorized agent) or otherwise authenticate your request(s), which we will do in accordance with the CCPA regulations. Please note that, under the CCPA, we are not required to grant a request to access/know or a request to delete with respect to personal information obtained from you in your role as an employee, owner, director, officer or contractor of a company and within the context of EditCo providing its services to such company.

European Privacy Rights

If you are a resident of the European Union, you have certain additional rights with respect to your information under the General Data Protection Regulation (Regulation (EU) 2016/679) (the “GDPR”), including the following:

  • The right of access to your information.
  • The right to rectify your information if it is incorrect or incomplete.
  • The right to have your information erased (“right to be forgotten”) if certain grounds are met.
  • The right to withdraw your consent to our processing of your information at any time (if our processing is based on consent).
  • The right to object to our processing of your information (if processing is based on legitimate interests).
  • The right to object to our processing of your information for direct marketing purposes.
  • The right to receive your information from us in a structured, commonly used and machine-readable format, and the right to transmit your information to another controller without hindrance from us (data portability).

If you are located in the European Union and you are or have been an EditCo customer, we may send you marketing communications based on our legitimate interests, subject always to your right to opt out of such communications. Further, if you are located in the European Union, we will never share your information with a third party for such third party’s marketing purposes, unless you have specifically consented to us doing so.

You may contact us at privacy@editcobio.com to exercise any of the above rights. We may request specific information from you to confirm your identity, and in some circumstances, we may charge a reasonable fee for access to your information.

Furthermore, if you believe that our processing of your information is inconsistent with your data protection rights under the GDPR and we have not adequately addressed your concerns, you have the right to lodge a complaint with the data protection supervisory authority of your country.

For purposes of the GDPR, we are a “controller” and you are a “data subject.”
